By using Dhanflow’s invoice cycle automation platform, you agree to the terms and conditions outlined below. Please review this agreement carefully.

Acceptance Mechanism

• Users must check the mandatory “I Agree” checkbox to proceed.
• The checkbox is unchecked by default to ensure explicit consent.
• A hyperlink to the full Terms and Conditions is provided for a detailed review before acceptance.

Freemium Model and Subscription Details

• Freemium Period: Users can access the platform free of charge for the first month from the date of registration.
• Post-Freemium Subscription Fees:
  • Subscription fees will be designed to be reasonably outcome-based or usage-based.
  • Payments will be processed daily at the end of each day (EOD).

Data Collection and Usage Policy

3.1 Data Collected

The platform collects the following information:

• Professional contact details (e.g., email, phone number).
• Business registration information (e.g., GSTIN, PAN).
• Financial transaction data related to invoice processing.
• Usage metrics for performance analysis and improvement.

3.2 Data Usage Purposes

The collected data will be used to:

• Deliver platform services efficiently.
• Optimize platform performance and identify bottlenecks.
• Offer a personalized user experience based on usage patterns.
• Facilitate future connections with funding societies for bill discounting and invoice financing.

Note: The funding-related features are currently under development and are not yet available.

Key Contractual Terms

• License Grant: Users are provided with a limited, non-exclusive license to use the platform in accordance with the agreed terms.
• Data Confidentiality: Dhanflow ensures strict confidentiality of all financial and sensitive information.
• User Responsibility: Users are responsible for the accuracy and completeness of all data uploaded to the platform.
• Security Commitment: Data security is ensured through Azure Infrastructure, as Dhanflow is part of the Microsoft Startup Founders Hub. While robust security measures are in place, ISO certifications are not yet available.

Terms and Conditions Modifications

Dhanflow reserves the right to amend, update, or modify this agreement at its sole discretion, in order to:

• Reflect changes in regulatory requirements.
• Introduce platform upgrades or new features.
• Align with evolving business strategies or market dynamics.

All modifications will take effect immediately upon publication on the platform, unless stated otherwise. Users are encouraged to review the agreement periodically to stay informed of updates. Continued use of the platform following any changes constitutes acceptance of the revised terms.

Liability and Dispute Resolution

• Limitation of Liability: Dhanflow’s liability for any claims or damages is limited to the total subscription fees paid by the user for the platform in the preceding 12 months.
• Arbitration Clause: Any disputes arising from this agreement will be resolved through arbitration, in accordance with applicable arbitration laws.
• Jurisdiction: All disputes are subject to the exclusive jurisdiction of the courts at Dhanflow’s primary operating location.

User Consent Declaration

By checking the “I Agree” checkbox:

• You confirm that you have read, understood, and accepted the terms outlined in this agreement.
• Your consent serves as a legally binding acknowledgment of the terms governing the use of Dhanflow’s invoice cycle automation platform.
